Terms of Use

1. Acceptance

By accessing or using DockLinx ("the Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users including shippers, 3PL providers, and visitors.

2. Description of Service

DockLinx is an AI-powered marketplace that connects businesses seeking warehouse and fulfillment services ("Shippers") with third-party logistics providers ("3PL Providers"). The Platform provides:

• Discovery and display of 3PL warehouse listings (including Google-seeded data)
• RFQ (Request for Quote) submission and bidding functionality
• AI-powered matching, bid ranking, and contract drafting
• In-platform messaging between Shippers and Providers
• Subscription management for 3PL Providers ($99.95/year)

DockLinx is a marketplace intermediary and is not a party to any agreement between Shippers and 3PL Providers.

3. User Accounts

• You must be 18 or older and represent a legitimate business to create an account.
• You are responsible for maintaining the security of your account credentials.
• You may not share your account or create multiple accounts for the same business.
• You must provide accurate and current information. Misrepresentation may result in account suspension.

4. 3PL Provider Subscriptions

• Annual fee: $99.95/year per claimed listing, billed via Stripe.
• Auto-renewal: subscriptions renew automatically. You will receive a 30-day reminder email before renewal.
• Grace period: if a renewal payment fails, your listing will remain active for 7 days. After 7 days without payment, the listing reverts to unclaimed status.
• Refunds: annual subscription fees are non-refundable except where required by applicable law or at our sole discretion.
• Featured listings ($19.95/month) and Shipper Premium ($49.95/month) are optional add-ons billed monthly and cancellable at any time with effect at the end of the billing period.

5. Listings and Content

• Google-seeded listings: DockLinx may create unclaimed listings using publicly available data from the Google Places API. This is a legitimate and publicly acknowledged use of Google's API.
• Accuracy: 3PL Providers who claim listings are responsible for ensuring their listing information is accurate and up to date.
• Prohibited content: you may not post false, misleading, defamatory, infringing, or harmful content. DockLinx may remove content that violates these Terms.
• License: by submitting content (photos, descriptions, etc.) to DockLinx, you grant us a non-exclusive, royalty-free license to display that content on the Platform.

6. RFQs and Bidding

• RFQs submitted by Shippers are shared with AI-matched 3PL Providers. Submitting an RFQ does not create a binding obligation on either party.
• Bids submitted by 3PL Providers are non-binding quotes unless explicitly accepted by the Shipper and formalized in a signed contract.
• AI-generated bids ("ghostwritten bids") are drafts requiring Provider review and explicit approval before submission.
• DockLinx is not responsible for the accuracy, completeness, or outcome of any RFQ, bid, or resulting business relationship.

7. AI-Generated Content

The Platform uses AI (OpenAI GPT-4o) for listing descriptions, RFQ parsing, bid matching, contract drafts, and the chatbot. You acknowledge:

• AI-generated content may contain errors or inaccuracies. Always verify important information independently.
• AI-generated contract drafts are not legal advice. Consult qualified legal counsel before executing any agreement.
• AI matching scores and bid rankings are informational tools, not guarantees of suitability or performance.

8. Prohibited Uses

You may not use DockLinx to:

• Scrape, harvest, or systematically extract data from the Platform
• Submit fake RFQs, fake reviews, or manipulate the bidding process
• Circumvent the Platform to conduct business with users discovered through DockLinx without paying applicable fees
• Introduce malware, spam, or any harmful code
• Violate any applicable law, regulation, or third-party rights

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DOCKLINX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

DOCKLINX IS NOT RESPONSIBLE FOR THE QUALITY, SAFETY, LEGALITY, OR PERFORMANCE OF ANY 3PL PROVIDER OR SHIPPER ON THE PLATFORM.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCKLINX'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DOCKLINX IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

DOCKLINX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless DockLinx and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, your content, or your violation of these Terms.

12. Termination

DockLinx may suspend or terminate your account at any time for violations of these Terms or at our discretion, with or without notice. You may delete your account at any time by contacting us.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration under the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email with at least 14 days' notice. Continued use of the Platform after the effective date constitutes acceptance.
